These Terms of Service ("Terms") govern access to and use of the FoodBank360 platform ("Service," "Platform") provided by FoodBank360 Ltd, ("FoodBank360," "we," "us," "our"). By creating an account, booking a demo that leads to account creation, or otherwise using the Service, the organisation you represent ("Customer," "you," "your") agrees to these Terms.
These Terms apply to Customers wherever they are based, including the UK and internationally. Section 19 explains which law applies depending on where you're located.
Clause headings in these Terms are for convenience only and don't affect interpretation. If any provision is found unenforceable, that provision is severed and the rest of these Terms remain in effect, unless doing so would substantially frustrate the purpose of the agreement. You may not assign, transfer, or sub-contract your rights under these Terms without our prior written consent; we may do so freely. No waiver of any provision is effective unless given in writing, and a waiver on one occasion doesn't prevent us from acting on a later breach.
FoodBank360 is a business-to-business (B2B) service intended for foodbanks, food pantries, churches, charities, community organisations, social services referral teams, and non-profit organisations of any legal structure. It is not intended for use by individual consumers acting outside of an organisational capacity. You confirm that you are authorised to accept these Terms on behalf of your organisation.
FoodBank360 provides cloud-based software to help organisations manage referrals, food parcels and inventory, volunteers, deliveries and collections, donations, and reporting. The specific features available to you depend on your subscription plan, as described on our Pricing page. Some features (for example, UK Gift Aid tracking) are only relevant to organisations operating under UK tax rules and may not apply if you are based elsewhere. The Service may change over time as we refine and add features; we'll give reasonable notice of changes that materially reduce functionality you rely on.
We do not offer a free trial of the Service. We offer a free demonstration of the Service's functionality, which does not itself create a subscription or any obligation to purchase.
You must provide accurate, current information when creating an account and keep it up to date. You're responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at [support email] if you suspect unauthorised access.
5.1 Plans. FoodBank360 is offered under the plans described at foodbank360.com/pricing (currently Referrer, Scheduler, Full, and Enterprise), each with the features listed on that page at the time of your subscription.
5.2 Fees. Subscription fees are billed monthly/annually in advance in GBP including international ones. A one-off setup fee of £100 applies to new accounts on the Referrer, Scheduler, and Full plans. Enterprise pricing is agreed individually. Optional add-ons (additional locations, inventory & POS) are billed as described on the Pricing page.
5.3 Currency for international Customers. All fees are billed in GBP regardless of your organisation's location. Currency conversion, if applicable, is handled by your payment provider or bank, and exchange rate fluctuations are not controlled by FoodBank360.
5.4 Late or failed payment. We have 1-week grace period on late monthly payments after that we reserve the right to restrict or terminate access to the Service.
5.5 Price changes. We may change subscription pricing with at least 30 days' written notice before your next renewal.
Subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel by written notice to support email at least 30 days before your renewal date. Cancellation takes effect at the end of the current billing period; we do not provide refunds for partial periods except where required by law.
7.1 Ownership. As between you and FoodBank360, you own all data you input into the platform, including referral records, beneficiary/household information, volunteer records, donation records, and inventory data ("Customer Data").
7.2 Our role. For Customer Data relating to your beneficiaries, volunteers, and referral partners, FoodBank360 acts as a data processor and you act as the data controller. Our processing of this data on your behalf is governed by our Data Processing Agreement (available on request), which forms part of these Terms.
7.3 Data export. On request, and during the term of your subscription, you may export your Customer Data in a standard format. Following termination, we will make Customer Data available for export for 180 days, after which it will be deleted in line with our data retention practices (see our Privacy Policy).
You agree not to misuse the Service. Without limitation, you must not, and must not attempt to:
FoodBank360 and its underlying software, design, and branding - including the manner in which the Service is presented - are owned by FoodBank360 or its licensors ("Rights"). Nothing in these Terms transfers any of the Rights to you. Solely for the purpose of receiving the Service, we grant you a limited, non-exclusive, non-transferable licence to use the Rights during your subscription term, for your internal organisational purposes only.
We reserve the right to restrict your access to the Service at any time, with or without notice, where we reasonably believe you are in material breach of these Terms, or for security, legal, or operational reasons. We may modify, suspend, or discontinue all or part of the Service, with reasonable notice where practical, without liability for doing so.
We aim to keep the Service available and will carry out planned maintenance with reasonable notice where practical. The Service is provided on an "as available" basis, and we do not guarantee uninterrupted or error-free operation, or that any defects will be corrected, to the extent permitted by law.
We handle personal data in accordance with our Privacy Policy and, where we process data on your behalf, our Data Processing Agreement. We implement technical and organisational measures including encryption and role-based access controls appropriate to the nature of the data processed.
Each party agrees to keep the other's confidential information private and use it only for purposes connected with these Terms, except as required by law.
We provide the Service with reasonable care and skill. Except as expressly stated in these Terms, the Service is provided "as is," and we do not make any other warranties, express or implied, including as to fitness for a particular purpose, to the extent permitted by applicable law.
To the extent permitted by law, FoodBank360's total liability arising out of or in connection with these Terms is limited to the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential losses, or for loss or damage arising from viruses or malicious code transmitted through the Service, except to the extent such liability cannot be excluded by law. We recommend you maintain up-to-date firewall and anti-virus protection on your own systems. Nothing in these Terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, or fraud.
You agree to indemnify FoodBank360 against claims arising from your breach of these Terms or misuse of the Service, to the extent permitted by law.
Either party may terminate these Terms for material breach not remedied within 30 days of written notice. We may suspend or terminate access immediately for serious violations of the Acceptable Use section, or where required by law.
We may vary these Terms from time to time and will post updates here. We will notify you of material changes by email before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
If you are based in the UK: These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.
If you are based outside the UK: These Terms are also governed by the laws of England and Wales unless otherwise agreed in a separate written contract.
